法律訴訟常識:小心並知道你正在簽署什麼?

商業房地產開發時, 會涉及大量資金和各方的承諾。此外,適當的盡職調查(Due  Diligence 需要獲取並審查賣家所擁有的商業機密和隱私信息。許多賣家大都願意在沒有意向書(a  letter of intent 的情況下披露相關保密信息。如買方簽署意向書,就意味向賣方表明-----買方對該物業產生了真正的興趣。

意向書中通常會明確聲明它沒有法律約束力。但是,這是否真的意味,簽訂意向書的雙方,是否在法律上具有約束力呢?這取決於下面幾種情況:
首先,如果意向書包含雙方同意的重要條款,並且未明確提及未來的正式協議,則意向書可能具有合同的約束力。

另一方面,即使意向書中明確提及了對未來正式協議(Formal Agreement)的存在,然後具體案例中的事實表明,未來的協議雖只是形式上反映意向書中已經記錄的條款,意向書也存在極大的法律約束力的可能性。

這裡討論的關鍵是,在涉及大量資金的商業房地產交易中,當事人一定要小心並知道你正在簽署什麼

Is Letter of Intent binding?

Commercial real estate development involves significant money and commitment.  In addition, a proper due diligence would require access to, and review, confidential and private information in the vendor』s possession.   Many vendors are willing to disclose confidential information without a letter of intent.  Letter of intent is signed by the purchaser to show the vendor that the purchaser is genuinely interested in the property.

Often times, the LOI would expressly state that it is not binding.  However, does it mean that it is in fact not binding in law?  It depends.

If the LOI contains material terms agreed to by the parties and there is no express reference to a future formal agreement, there is a serious risk that the LOI may be contractually binding.

On the other hand, even if the LOI does contain an express reference to a future formal agreement, if the facts of the case suggest that the future agreement is only a formality to reflect the material terms already recorded in the LOI, there is also a serious risk that the LOI is legally binding.

The key take-away is that in commercial real estate deals where substantial money is involved, be careful and know what you are signing.
