購買特許經營生意時需要注意哪些法律問題（之二）

當您有興趣購買特許經營業務時，一般來說你會有兩個選擇：購買現有的特許經營權或加盟新的特許經營權。這兩種不同的選擇，將會產生不同的法律權利和義務。

首先，以加盟（購買）全新的特許經營權為例，特許人（franchisor）必須提供法律特別規定的披露文件（Disclosure Document）。當您簽署特許經營協議（the  franchise agreement） 時，這時你可能（或不可能）被告知未來的營業場所； 另外特許經營者在特定條件得到滿足的情況下，將獲得經營許可年限的特許經營權和更新權。

其次，當購買現成特許經營生意（ the purchase of an existing franchise）時 ，經特許人同意，新特許經營人(Franchise) 可以通過轉讓協議( assignment agreement) 向現有特許人購買資產( Assets)，也可以與特許人簽訂新的特許經營協議( new franchise agreement)而獲得特許經營權。在購買現成生意這種情況下，新加盟商對於特許人和現有特許經營商間存在的權利和義務應當慎重聽取專業人士的意見。比如，交易的結構是否使新的加盟商有權獲得特許人的披露聲明（disclosure statement）？新加盟商是否有義務向特許人支付初始特許經營費用(initial franchise fee) ？新加盟商是否為現有加盟商的商譽（goodwill）支付任何費用？

Suppose you are interested in purchasing a franchise business, you can purchase either an existing franchise or a new franchise.  These two options give rise to different rights and obligations.

For the purchase of a new franchise, the franchisor must provide a disclosure document the content of which is specified by the statute.  The business site may (or may not) be known at the time when you sign the franchise agreement.  Franchisee will receive the right to operate the franchised business for the standard term for a number of years and the right of renewal if certain conditions are met.

For the purchase of an existing franchise, with the franchisor's consent, the new franchisee buys the assets from the existing franchisee either through an assignment agreement or enters into a new franchise agreement with the franchisor.  It is highly advisable that the new franchisee retains professional advice as to its rights and obligations with respect to the franchisor and the existing franchisee.  For example, is the deal structured so that the new franchisee is entitled to the franchisor's disclosure statement?  Is the new franchisee obligated to pay an initial franchise fee to the franchisor?  Does the new franchisee pay any price for goodwill of the existing franchisee?
